On May 28th, 2022 a new Consumer Protection Act entered into force, implementing the Directive (EU) 2019/2161 in the Croatian legal system, that is, one of the latest regulatory mechanisms at the EU level which aims to improve enforcement and modernization of consumer protection rules. The new Act continues to protect consumers from unfair and misleading practices and traders' omissions, but at the same time introduces several changes for traders. The most significant changes are contained in the provisions on the price display of goods and services, while other changes concentrate on the behavior of traders towards consumers and the protection of consumers from misleading information about goods and/or services offered by the trader. To help you in the process of harmonization with the new regulations, through a series of three publications, we will present to you an overview of the most important news.

The new Act on Amendments of the Companies Act entered into force today, with the exception of certain provisions which will enter into force on 1 August 2023. The main goal of the amendments is to further harmonize Croatian laws with the Acquis Communautaire. Amendments to the Companies Act are accompanied by the amendments to the Court Registry Act, which, with certain exceptions, came into force on 24 March 2022. The amendments, among others, seek to digitalize and increase the efficiency of corporate incorporation processes, as well as to improve the administration of the Court Registry. On 23 April 2022, a new Act on the Protection of Persons Reporting Irregularities entered into force, implementing the so-called Whistleblowing Directive (Directive (EU) 2019/1937) in the Croatian legal system. As the name suggests, the main purpose of the Act is to create preconditions that, through the increased protection of "whistleblowers", encourage reporting of irregularities. The main role in this task was handed over to employers, who have been bound with a number of new and extensive obligations regarding the establishment and the structure of internal irregularity reporting systems.
